Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the websites, products, and services (collectively, "Services") provided by Diabase ("we", "us", "our"), including but not limited to diabase.ai and Chisel (chisel.diabase.ai).

By accessing or using our Services, you agree to these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Services

Diabase provides AI tools and infrastructure for teams. Our current products include:

• Chisel — a collaborative AI workspace for managing conversations, models, and workflows

We may add, modify, or discontinue features or products. We'll give reasonable notice for changes that materially affect your use of the Services.

3. Accounts

To use certain features, you need to create an account. You are responsible for:

• Providing accurate account information
• Keeping your credentials secure
• All activity that occurs under your account

If you suspect unauthorised access, notify us immediately at security@diabase.ai.

4. Your data

You retain all rights to the data you upload, create, or process through our Services ("Your Data"). We do not claim ownership of Your Data.

You grant us a limited licence to store, process, and display Your Data solely to provide the Services to you. This licence ends when you delete Your Data or close your account.

We do not use Your Data to train AI models or for any purpose other than providing and maintaining the Services.

5. Lockdown mode

Certain products, including Chisel, offer a lockdown mode that restricts data processing and LLM usage to a specific country or region. When lockdown mode is enabled:

• Your Data is processed exclusively within the configured region
• Only LLM providers operating within that region are used
• These restrictions apply to all workspace members

It is your responsibility to configure lockdown mode appropriately for your compliance requirements. We provide the controls; the configuration choices are yours.

6. Acceptable use

You agree not to use the Services to:

• Violate any applicable law or regulation
• Infringe on the rights of others
• Distribute malware or conduct attacks against our infrastructure or other users
• Attempt to gain unauthorised access to our systems
• Resell or redistribute the Services without our written permission
• Generate content that is illegal under applicable law

We may suspend or terminate accounts that violate these terms.

7. Payment and billing

Some Services require a paid subscription. For paid plans:

• Prices are listed in the applicable currency and exclude VAT/taxes unless stated otherwise
• Subscriptions renew automatically unless cancelled before the renewal date
• We provide at least 30 days' notice before price increases take effect on your plan
• Refunds are handled on a case-by-case basis; contact us if you have concerns

8. Availability

We aim to keep the Services available and reliable, but we do not guarantee 100% uptime. We are not liable for downtime caused by:

• Scheduled maintenance (we'll give advance notice)
• Factors outside our reasonable control
• Third-party service failures

For business-critical use cases, contact us about service level agreements.

9. Intellectual property

The Services, including their design, code, and documentation, are owned by Diabase and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, branding, or proprietary technology beyond what is needed to use the Services.

10. Limitation of liability

To the maximum extent permitted by applicable law:

• Our total liability for any claim arising from these Terms or the Services is limited to the amount you paid us in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for loss of data, except where caused by our gross negligence or wilful misconduct

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or gross negligence.

11. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Services in violation of these Terms or applicable law.

12. Termination

You may stop using the Services and close your account at any time. We may terminate or suspend your access if:

• You violate these Terms
• We are required to do so by law
• We discontinue the Services (with reasonable notice)

Upon termination, you may request an export of Your Data within 30 days. After that period, we will delete Your Data in accordance with our Privacy Policy.

13. Changes to these Terms

We may update these Terms from time to time. For material changes, we will notify you via email or a prominent notice on our website at least 30 days before the changes take effect. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of Sweden. Any disputes arising from these Terms or the Services shall be resolved in the courts of Sweden, without prejudice to any mandatory consumer protection laws in your country of residence.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
